Confidential information does not include information that:
- Is or becomes publicly available through no breach by the receiving party
- Was rightfully known before receipt from the disclosing party
- Is independently developed without use of confidential information
- Is required to be disclosed by law or court order
6. Payment Terms
6.1 Fees
Fees for our services are as set out in individual service agreements or quotations. All fees are exclusive of VAT unless otherwise stated.
6.2 Payment Terms
Unless otherwise agreed, payment is due within 30 days of invoice date. Late payments may incur interest at 8% above the Bank of England base rate.
6.3 Expenses
Reasonable travel and accommodation expenses incurred in providing services will be charged at cost, subject to prior agreement.

To the maximum extent permitted by law, our total liability to you for all claims arising out of or relating to these Terms or our services shall not exceed the amount paid by you to us in the twelve months preceding the claim.

Upon termination, all outstanding fees become immediately due and payable.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

These Terms, together with any service agreements, constitute the entire agreement between you and us regarding our services.

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
